Terms of Service

Access to and use of the services provided by Integrated Solutions & Services Group, LLC ("ISSG") are subject to the following Terms of Service. By contracting or using our solutions, you (the "Client") agree to be legally bound by these conditions.

1. Description of Services

ISSG LLC operates under a dual organizational structure designed to offer comprehensive solutions to its clients:

a) Business Division:
Includes import and export services, product distribution, and commercial solutions development. These activities may involve supplier management, international logistics, warehousing, commercialization, and strategic consulting.

b) Service Division:
Includes cleaning services (commercial, industrial, and post-construction), staffing, demolition, and transportation. These services are geared towards field operations and operational support for diverse projects.

In all cases:

  • The specific scope, schedule, deliverables, pricing, and particular conditions of each service will be defined through proposals, work orders, or individual contracts signed between ISSG LLC and the Client.
  • Any service not expressly included in said agreements will be considered out of scope and may be subject to additional costs.
  • ISSG LLC reserves the right to subcontract or delegate part of the services to qualified third parties, maintaining general project oversight where applicable.
  • Execution times may be adjusted based on external factors such as site conditions, weather, material availability, regulatory permits, or other circumstances beyond ISSG LLC's reasonable control.

2. Safety Regulations (Demolition and Cleaning)

For all demolition, industrial cleaning, and related activities, ISSG LLC operates under strict safety protocols in compliance with applicable federal, state, and local regulations, including, but not limited to, the standards established by the Occupational Safety and Health Administration (OSHA).

The client agrees to:

  • Ensure safe, free, and adequate access to the facilities where work will be performed.
  • Provide truthful, complete, and updated information regarding site conditions.
  • Notify in writing, prior to the commencement of services, the presence of any hazardous or risky materials, including but not limited to: asbestos, lead, mold, industrial chemicals, biological waste, or any other regulated substance.
  • Ensure that work areas are properly vacated, signposted, and authorized for intervention.
ISSG LLC reserves the right to:
  • Suspend or reschedule work if unsafe or previously undisclosed conditions are identified.
  • Adjust project costs, timelines, and scope in the event of unreported additional risks.
  • Require environmental assessments or specialized inspections before continuing the service.
ISSG LLC shall not be liable for:
  • Structural damages, incidents, or delays resulting from incomplete, inaccurate, or omitted information by the client.
  • Pre-existing hidden conditions within structures, walls, floors, or systems that were not previously declared or are not reasonably detectable during an initial inspection.
  • Exposure to or handling of hazardous materials not previously reported by the client.
The client acknowledges that compliance with these provisions is essential to ensure the safety of personnel, facilities, and third parties, as well as for the proper execution of the project.

3. Staffing Solutions

Within the framework of its human capital supply services, ISSG LLC commits to:

  • Provide qualified personnel, previously evaluated and aligned with the profile requested by the Client.
  • Comply with applicable legal labor obligations, including hiring processes, documentation, and basic verification of eligibility to work in the United States.
  • Make reasonable personnel replacements in case of inadequate performance, upon prior notification from the Client.
However:
  • The daily operational supervision, direction, and control of the assigned personnel's activities will fall exclusively on the Client, unless agreed otherwise in writing.
  • ISSG LLC shall not be liable for acts of negligence, omissions, operational errors, or breaches when personnel are acting under the direct instructions or exclusive supervision of the Client.
  • The Client will be responsible for providing a safe working environment, site-specific training (if applicable), and clear execution guidelines.
  • ISSG LLC may withdraw or reassign personnel in the event of unsafe conditions, non-compliance with rules, or any situation that poses a risk to the worker or third parties.

4. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and, where applicable, the laws of the state in which the services are provided.

The parties agree that any controversy, claim, or dispute arising from the interpretation, execution, or compliance of these terms or the services provided by ISSG LLC may be brought before the competent state or federal courts within the United States of America.

Furthermore, the parties may agree in writing to alternative dispute resolution mechanisms, such as mediation or arbitration, prior to initiating any legal action.

5. Limitation of Liability (Import, Export, and Trade)

ISSG LLC acts exclusively as a facilitator, intermediary, and/or logistics consultant in import, export, distribution, and commercial service operations. Under no circumstances shall ISSG LLC be considered the owner, manufacturer, or directly responsible for the goods transported or marketed, unless expressly agreed in writing.

The Client acknowledges and agrees that:

  • All international trade operations are subject to regulations, inspections, and decisions by competent authorities, including but not limited to U.S. Customs and Border Protection, the Food and Drug Administration, and other national and international government agencies.
  • ISSG LLC shall not be liable for delays, inspections, retentions, seizures, fines, or confiscations of goods resulting from: Customs processes or regulatory authority decisions; Incomplete, incorrect, or inaccurate documentation provided by the Client; Non-compliance with applicable legal regulations in the country of origin, transit, or destination; Incorrect tariff classification, inadequate labeling, or lack of required permits/licenses; Force majeure events, including but not limited to natural disasters, conflicts, strikes, regulatory changes, logistical interruptions, or situations beyond ISSG LLC's reasonable control.
The Client shall be solely responsible for:
  • Ensuring that all goods comply with applicable laws, regulations, and standards in the countries of origin, transit, and destination.
  • Providing truthful, complete, and timely documentation, including commercial invoices, packing lists, certificates, permits, and any other legal requirements.
  • Correctly declaring the content, value, origin, and nature of the goods.
ISSG LLC assumes no liability for indirect losses, consequential damages, lost profits, or business interruption arising from any delay or incident in the logistics chain.

In no event shall the total cumulative liability of ISSG LLC, in relation to the services provided under this section, exceed the amount actually paid by the Client for such services, except in cases of proven willful misconduct or gross negligence.
